Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Skillset marketing website (the “Site”), operated by Skillset AI Inc., a Delaware corporation (“Skillset,” “we,” “our,” or “us”). By using the Site, you agree to these Terms.

Scope

These Terms apply to your use of the Site. Access to and use of the Skillset application is governed by a separate written agreement (such as a Master Services Agreement and Data Processing Agreement) between Skillset and the applicable customer. In case of conflict between these Terms and a signed customer agreement with respect to the Skillset application, the signed customer agreement controls.

Eligibility

You must be at least 18 years old and have the legal capacity to enter into a binding contract to use the Site. If you are using the Site on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

Acceptable use

You agree not to:

• Use the Site for any unlawful purpose or in violation of any applicable law or regulation.
• Scrape, crawl, or harvest content from the Site, except as permitted by our robots.txt file or with our prior written consent.
• Attempt to reverse engineer, decompile, or otherwise derive the source code of the Site.
• Interfere with or disrupt the Site, including by introducing malware or attempting to gain unauthorized access.
• Use the Site to send spam, phishing, or other unsolicited communications.
• Use the Site or its content to train machine-learning models without our prior written consent.

Intellectual property

The Site and its content, including text, graphics, logos, and software, are owned by or licensed to Skillset and are protected by intellectual property laws. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and view the Site for your personal or internal business use. “Skillset” and related logos are trademarks of Skillset AI Inc. All other marks are the property of their respective owners.

Third-party links and services

The Site may contain links to third-party websites or services (for example, scheduling via Cal.com). We do not control and are not responsible for third-party content, products, or services, and their use is subject to their own terms and policies.

Disclaimers

The Site is provided “as is” and “as available.” To the fullest extent permitted by law, Skillset disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising from course of dealing or usage of trade. We do not warrant that the Site will be uninterrupted, error-free, or secure.

Limitation of liability

To the fullest extent permitted by law, Skillset and its affiliates, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, arising out of or relating to your use of the Site. Our aggregate liability arising out of or relating to these Terms or the Site will not exceed one hundred U.S. dollars (US$100).

Indemnification

You agree to defend, indemnify, and hold harmless Skillset and its affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your misuse of the Site or violation of these Terms.

Governing law and venue

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles. The exclusive venue for any dispute arising out of or relating to these Terms or the Site shall be the state or federal courts located in Delaware, and you consent to the jurisdiction of those courts.

Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will update the effective date above. Your continued use of the Site after changes become effective constitutes acceptance of the updated Terms.
